Topic Description

 

The presentation will address the changing role of the Audit Committee and how this affects the work of internal audit. New developments and expectations of the board will be discussed along with tools to communicate audit findings. Using recent case studies, we will explore how internal audit can enhance its strategic role in entity controls.

 

Topics that will be covered include:

 

  1. Principal Audit Committee functions and the written charter
  2. The importance of “independence”
  3. The basics of objectives, risks and controls – especially entity-level controls
  4. Engaging the external auditors and the reporting relationship
  5. Planning and overseeing the external audit contract, including communication per SAS 114 (supersedes SAS 61)
  6. Understanding the differences between a deficiency, significant deficiency and material weakness
  7. Reporting relationship with the internal audit function
  8. Oversight of legal compliance and the reporting relationship of General Counsel
  9. Audit Committee intelligence for decision making purposes
  10. Anti-fraud controls at the board level

 

Speaker Bio

 

Amy is a Partner with Candela Solutions LLC and practice leader over Corporate Responsibility. She works with companies to address governance and regulatory challenges, including Sarbanes Oxley (SOX) compliance, Board development, and Corporate Responsibility strategies.

 

Amy has successfully performed and driven finance, accounting, compliance and training activities for public and private companies, as well as nonprofit organizations both in the US and abroad. Amy has completed these activities under the titles of CFO, Director, Consultant and Board Member. She specializes in entity-level controls to assess and make recommendations on the control environment, risk assessment, monitoring, and information and communication components of control processes. Amy also has experience in accounting systems management, in which she analyzed the suitability of accounting packages for US GAAP accounting needs and addressed fraud risks through monitoring controls. Amy believes in an integrated approach to governance, risk and compliance; including corporate responsibility through solid controls.

 

Prior to joining Candela Solutions, Amy served as CFO for high-tech start-up companies and provided SOX consulting for foreign companies registering in the US. In addition, she created accounting systems for nonprofit organizations and managed accounting services for a mid-sized hedge fund.
